1. Agreement to Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Idea Partnership, LLC, a Florida limited liability company ("Idea Partnership," "we," "us," or "our"), governing your access to and use of the website located at ideapartnership.com (the "Site") and all related services, content, tools, features, and functionality offered on or through the Site (collectively, the "Services").
By accessing or using the Site or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Site or Services.
We reserve the right to modify these Terms at any time. Changes become effective upon posting to this page. Your continued use of the Site after any modification constitutes acceptance of the revised Terms.
2. Eligibility

By using the Site, you represent and warrant that you meet these eligibility requirements. If you are using the Site on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
3. Description of Services
Idea Partnership provides invention discovery, documentation, prior art research, IP strategy, licensing opportunities, consulting services, white-label software solutions, and educational resources related to patents, trade secrets, and innovation strategy. The Services are provided for informational, educational, and commercial purposes as described on the Site.
Idea Partnership, LLC is not a law firm and does not provide legal advice or legal representation. All patent preparation, filing, and prosecution services are performed by independent licensed patent attorneys retained separately by you or engaged on your behalf; those attorneys, not Idea Partnership, are responsible for all legal work. No attorney-client relationship is created by your use of the Site, our guides, our blog, or a consultation with Idea Partnership.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice or liability.
4. User Accounts and Registration
Certain features of the Services may require you to provide personal information, including but not limited to your name, email address, company name, and phone number. You agree to provide accurate, current, and complete information and to update such information as necessary to maintain its accuracy.
You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
5. Intellectual Property Rights

The Idea Partnership name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Idea Partnership, LLC. You must not use such marks without our prior written permission.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its content for personal, non-commercial informational purposes only. This license does not include the right to:
- Modify or copy the materials
- Use the materials for any commercial purpose or public display
- Attempt to decompile or reverse-engineer any software on the Site
- Remove any copyright or proprietary notations from the materials
- Transfer the materials to another person or mirror the materials on any other server
6. User Content and Submissions
By submitting any content, information, ideas, concepts, inventions, or materials to us through the Site, contact forms, email, or any other channel ("User Content"), you acknowledge and agree that:

- We have no obligation to maintain the confidentiality of User Content unless a separate written confidentiality or non-disclosure agreement has been executed
Important: Do not submit confidential, proprietary, or trade secret information through the Site without first executing a written non-disclosure agreement with Idea Partnership. No confidentiality attaches to information submitted through the Site absent such an agreement, and unsolicited submissions do not create a confidential relationship.
7. Prohibited Uses
You agree not to use the Site or Services:
- In violation of any applicable federal, state, local, or international law or regulation
- To transmit any material that is defamatory, obscene, threatening, abusive, or otherwise objectionable
- To impersonate or attempt to impersonate Idea Partnership, an employee, another user, or any other person or entity

8. Disclaimer of Warranties
THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IDEA PARTNERSHIP DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, IDEA PARTNERSHIP DOES NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT IS COMPLETE, ACCURATE, OR CURRENT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IDEA PARTNERSHIP, LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.
IN NO EVENT SHALL IDEA PARTNERSHIP'S TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO IDEA PARTNERSHIP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH CASES, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
10. Indemnification
You agree to defend, indemnify, and hold harmless Idea Partnership, LLC, its members, managers, officers, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any User Content you submit.
11. Third-Party Links and Services
The Site may contain links to third-party websites or services not owned or controlled by Idea Partnership. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
12. No Professional Advice
The content on this Site is provided for general informational purposes only. Nothing on this Site constitutes legal, financial, investment, tax, accounting, or other professional advice. Idea Partnership is not a law firm, patent attorney, registered investment advisor, or licensed financial advisor. You should consult with qualified professionals regarding your specific circumstances before making any decisions. See our Disclaimers page for additional information.
13. No Guarantee of Profits or Results
Idea Partnership, LLC makes no guarantees, warranties, or promises regarding the patentability, patent grant, validity, enforceability, freedom to operate, funding, valuation, profitability, revenue generation, return on investment, or commercial success of any intellectual property, invention, idea, product, or service discussed, developed, or licensed through our Services. All business outcomes involve risk. Any examples or testimonials are for illustrative purposes only and do not guarantee future results.
Where an engagement includes a 90-day delivery commitment, that commitment describes only the payment arrangement: half of the fee is due up front and half at completion, and fees paid are refunded if a counsel-filed provisional patent application containing at least two distinct inventions is not delivered within 90 days, as defined in the engagement agreement. It is not a promise of a patent grant, of validity, or of any commercial outcome.
14. Statutory Deadlines and Public Disclosure
Public disclosure, sale, or offer for sale of an invention before a patent application is filed can permanently forfeit patent rights, and applicable statutory deadlines vary by jurisdiction. You are responsible for managing these risks in consultation with independent licensed patent counsel. Idea Partnership is not responsible for disclosures, deadlines, or filings occurring outside a formal, executed engagement with independent patent counsel.
15. Educational Content
Guides, blog posts, and other educational materials on the Site reflect general information as of their publication date and may become outdated as laws, regulations, and patent office practice change. This content is not a substitute for advice from qualified, independent licensed patent counsel regarding your specific circumstances.
16. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms shall first be submitted to good-faith mediation. If mediation is unsuccessful, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules, conducted in Palm Beach County, Florida, before a single arbitrator.
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
17. International Users
The Site is controlled and operated from the United States. If you access the Site from outside the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. If you are located in the EEA, UK, or Switzerland, additional data protection provisions apply as described in our Privacy Policy.
18. Termination
We may terminate or suspend your access to the Site and Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Site ceases immediately. All provisions which by their nature should survive termination shall survive.
19. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or severed. The invalidity of any provision shall not affect the remaining provisions.
20. Entire Agreement
These Terms, together with the Privacy Policy, Disclaimers, and any other legal notices published on the Site, constitute the entire agreement between you and Idea Partnership, LLC regarding the use of the Site and Services.
